Auto Detail Biz, a division of Ira Blatt & Associates, Merced, California (“Auto Detail Biz,” “we,” “our,” or “us”), provides educational materials, business resources, marketing tools, managed websites, AI voice-assistant services, scheduling and automation systems, and related services designed to help entrepreneurs start, operate, and grow mobile auto-detailing businesses.

These Terms of Service govern your purchase of, access to, and use of Auto Detail Biz products and services.

By purchasing a product, checking an acceptance box, clicking an activation or enrollment button, submitting payment information, replying electronically that you agree, or otherwise affirmatively authorizing us to activate or provide services after receiving access to these Terms, you agree to be bound by these Terms of Service.

If you are accepting these Terms for a business or other organization, you represent that you are authorized to accept these Terms on its behalf.

BUSINESS USE

Our website, AI voice, marketing, automation, and related business-system services are intended primarily for business and commercial use.

You are responsible for determining whether our products and services are appropriate for your business and for operating your business in compliance with applicable laws, licensing requirements, insurance requirements, tax obligations, advertising rules, consumer-protection requirements, and industry standards.

PRODUCTS AND SERVICES

Products and services offered by Auto Detail Biz may include:

• Digital books, guides, and educational materials

• Business startup resources and operating templates

• Marketing resources and advertising materials

• Website templates and managed website services

• Website hosting and maintenance

• AI voice-assistant and telephone-answering services

• Appointment scheduling and calendar integrations

• Business automation tools and workflows

• Email notifications and related communications

• Technical support and service maintenance

• Optional recurring software and support services

• Future products and services related to operating a mobile auto-detailing business

Specific features, pricing, usage allowances, trial periods, and service terms may vary by product or plan. The information clearly presented and accepted at enrollment will apply to your purchase or subscription.

ACCEPTANCE OF TERMS

You may accept these Terms through one or more electronic actions, including:

• Checking a box stating that you agree

• Clicking a purchase, enrollment, activation, or authorization button

• Submitting payment information after being shown these Terms

• Replying “I agree” or substantially similar language by email or electronic message

• Affirmatively instructing us to activate services after receiving these Terms

Electronic records of your acceptance may be retained as evidence of your agreement.

Merely viewing a demonstration website does not, by itself, enroll you in a paid subscription.

FREE TRIALS

Auto Detail Biz may offer a promotional free trial for the period presented at enrollment. Our standard promotional trial may be offered for one month.

Unless expressly disclosed otherwise:

• A free trial does not require a credit card.

• A no-credit-card trial will not automatically convert into a paid subscription.

• You will not be charged at the conclusion of a no-credit-card trial unless you separately provide a payment method and affirmatively authorize paid recurring service.

• Trial access may end automatically when the trial period expires.

• Trial websites, temporary domains, telephone numbers, calendars, AI assistants, and other demonstration resources remain part of the Auto Detail Biz service system and may be disabled, reclaimed, changed, or reassigned when the trial ends.

The free trial is intended to allow a prospective customer to evaluate the service and use it in the ordinary operation of one auto-detailing business. Trial access is subject to reasonable use and is not intended for unusually high-volume, shared, resold, automated, fraudulent, abusive, or commercially unreasonable usage.

Auto Detail Biz may contact the trial participant, restrict particular features, temporarily suspend service, or end a free trial early if we reasonably determine that the level or nature of usage is substantially beyond what would ordinarily be expected during a genuine evaluation of the service, creates unreasonable cost or operational risk, interferes with the service, or appears to involve abuse or unauthorized use.

When practical, we will contact the trial participant before restricting or ending the trial and may offer the opportunity to discuss the usage or transition to an appropriate paid arrangement.

Auto Detail Biz will not impose usage or overage charges during a no-credit-card free trial unless the customer separately agrees to those charges and provides payment authorization.

PAID SUBSCRIPTION SERVICES

Customers who choose to continue after a free trial may enroll in a monthly subscription.

Unless a different price is clearly presented and accepted, the standard website and AI voice-assistant service is currently:

$97 per month

The standard plan currently includes:

• Managed website service

• Website hosting and maintenance

• AI voice-assistant access

• Appointment scheduling and business automation features

• 150 AI voice minutes per monthly billing period

• Reasonable technical support

• Updates and maintenance to the shared service system

A paid monthly subscription continues from month to month until canceled.

By enrolling in a paid subscription and providing a payment method, you authorize Auto Detail Biz and its payment providers to charge the recurring subscription price, applicable usage charges, and any applicable taxes to the payment method on file.

The billing date will generally correspond to the date paid service begins unless another billing date is presented to you.

AI VOICE USAGE AND OVERAGE BILLING

The standard subscription includes 150 AI voice minutes during each monthly billing period.

Usage beyond the included 150 minutes is billed at:

$0.19 per additional minute

AI voice usage is measured using the usage records provided by the telephone, AI, or voice-service platforms used to deliver the service.

Overage charges are ordinarily compiled and charged with your regular monthly renewal invoice.

If accrued overage charges reach $100 before the end of a billing period, Auto Detail Biz may process an interim usage charge to the payment method on file. We may also contact you regarding unusual usage or temporarily restrict service if payment cannot be completed.

Higher call volume does not guarantee additional bookings, customers, revenue, or profit.

You are responsible for usage generated through your assigned business number, AI assistant, website, or connected service unless the usage resulted from a confirmed technical error within our system.

We may block or restrict prank calls, abusive calls, repetitive automated calls, fraudulent traffic, looping conversations, denial-of-service activity, or other use that creates unreasonable cost, security risk, or service disruption.

PAYMENT AND FAILED CHARGES

You agree to provide accurate and current billing information for paid services.

If a payment is declined, reversed, disputed, or otherwise unsuccessful, we may:

• Notify you and request updated payment information

• Retry the payment

• Suspend some or all services

• Disable the website, AI assistant, telephone number, scheduling tools, or automations

• Terminate the subscription if the account remains unpaid

You remain responsible for valid charges incurred before cancellation or suspension.

Submitting an unsupported chargeback or payment dispute does not cancel your subscription. Cancellation requests should be sent directly to Auto Detail Biz using the cancellation method described below.

CANCELLATION POLICY

We believe cancellation should be simple.

You may cancel an eligible subscription at any time by emailing:

Use the subject line:

Cancel Service

Include the name of your business and the email address associated with the service. No telephone call is required to cancel by email.

Cancellation stops future subscription renewals after the effective cancellation date.

Unless you request immediate shutdown, paid services may remain available through the end of the billing period already paid. Usage or overage charges incurred before the service is disabled remain payable.

Cancellation does not automatically create a refund for charges from previous billing periods.

After cancellation, we may disable or remove access to hosted websites, temporary domains, telephone numbers, AI assistants, calendars, automations, integrations, and other service resources controlled by Auto Detail Biz.

You are responsible for preserving any customer information, appointment information, photographs, text, or other materials that you wish to retain before the service is discontinued.

REFUND POLICY

Because digital products may be delivered immediately, payments for digital books, guides, templates, downloads, and training materials are generally nonrefundable after access has been provided, except where a different guarantee is stated on the applicable purchase page or where a refund is required by law.

Monthly subscription payments are generally nonrefundable after the billing period begins.

We do not ordinarily provide prorated refunds for unused portions of a monthly subscription.

Any specific refund guarantee clearly presented on a sales page or enrollment page will control over this general policy for that product or service.

WEBSITE AND DOMAIN SERVICES

Auto Detail Biz websites are provided as managed services.

The customer receives permission to use the website during an active authorized trial or paid subscription. The customer does not purchase the underlying website template, custom code, booking widget, hosting account, automation system, or service architecture.

Temporary website addresses, Hostinger preview addresses, Auto Detail Biz subdomains, demonstration domains, telephone numbers, and similar service resources are provided for convenience and remain under the control of Auto Detail Biz or the applicable third-party provider.

Temporary addresses and service resources are not sold or transferred to the customer.

Customers are encouraged to obtain and maintain their own domain name. A domain purchased and registered by the customer remains the customer’s property, subject to the terms of the applicable registrar.

If a customer-owned domain is connected to an Auto Detail Biz website, the connection does not transfer ownership of the underlying website, template, code, booking system, automation, or hosting service.

The customer is responsible for:

• Maintaining ownership and renewal of any customer-owned domain

• Providing accurate domain and DNS information

• Maintaining access to the domain registrar account

• Informing Auto Detail Biz before changing DNS, nameservers, or registrar settings

• Avoiding unauthorized changes that could interrupt the website, email, or booking system

Auto Detail Biz is not responsible for the expiration, suspension, loss, theft, or misconfiguration of a domain controlled by the customer or another third party.

AI VOICE ASSISTANT AND SCHEDULING SERVICES

AI voice assistants and automated scheduling tools are designed to help answer routine questions, collect customer information, check calendar availability, schedule appointments, and forward messages.

Artificial intelligence and automated systems are not perfect. An AI assistant may occasionally:

• Mishear or misunderstand a caller

• Receive incomplete or inaccurate information

• Be interrupted by poor telephone connections

• Encounter unavailable third-party services

• Produce an incorrect or incomplete response

• Fail to complete a booking or notification

• Experience delays, outages, or integration errors

The customer is responsible for reviewing the business calendar, appointment information, messages, pricing, business hours, and other operational information associated with the service.

The customer must promptly notify Auto Detail Biz of incorrect business information, pricing, service areas, availability rules, calendar settings, or contact information.

Auto Detail Biz does not guarantee that every call will be answered, that every caller will schedule, that every appointment will be completed, or that every automated message or notification will be delivered.

The AI voice assistant is not intended for emergencies, urgent safety matters, medical emergencies, or situations requiring immediate human assistance.

CUSTOMER RESPONSIBILITIES

You are responsible for:

• Operating your business legally, safely, and ethically

• Obtaining required licenses, permits, registrations, and tax accounts

• Maintaining appropriate business and vehicle insurance

• Following employment and independent-contractor laws

• Complying with advertising and marketing requirements

• Honoring appointments and commitments made to customers

• Providing professional and lawful detailing services

• Maintaining accurate pricing, hours, service areas, and availability

• Reviewing your calendar and customer messages

• Protecting access credentials provided to you

• Following privacy, telephone, recording, text-messaging, and customer-communication laws applicable to your business

• Obtaining rights and permissions for logos, photographs, reviews, testimonials, trademarks, and other materials you provide

INDEPENDENT BUSINESS RELATIONSHIP

You operate your own independent auto-detailing business. Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, subcontractor, or auto-detailing service-provider relationship between you and Auto Detail Biz, Ira Blatt & Associates, or Ultra Auto Detail.

You may not state, advertise, represent, or imply that you are an employee, agent, representative, franchisee, partner, subcontractor, or authorized auto-detailing service provider of or for Auto Detail Biz, Ira Blatt & Associates, or Ultra Auto Detail.

You may not represent or imply that Auto Detail Biz, Ira Blatt & Associates, or Ultra Auto Detail hired you to perform auto-detailing services, supervises or controls your detailing work, guarantees your work, or is responsible for your services, customers, employees, contractors, conduct, debts, obligations, or business results.

You remain solely responsible for your own auto-detailing business, including your services, customers, appointments, pricing, advertising, employees, contractors, taxes, expenses, insurance, licenses, decisions, conduct, and results.

You may accurately state that your business uses website, AI voice-assistant, scheduling, marketing, automation, hosting, or support services provided by Auto Detail Biz, when applicable.

CUSTOMER MATERIALS

You retain ownership of original materials that you provide, including your:

• Business name

• Customer-owned domain

• Logo

• Photographs

• Testimonials

• Business description

• Contact information

• Pricing information

• Customer information

• Other original business-specific content

You grant Auto Detail Biz a non-exclusive license to host, reproduce, display, format, resize, edit, adapt, and use those materials as reasonably necessary to build, operate, maintain, promote, or support the services you requested.

You represent that you have the right to provide and authorize the use of all materials submitted to us.

You are responsible for claims resulting from materials you provide without authorization, including copyrighted photographs, copied website content, unauthorized logos, false testimonials, misleading claims, or infringing trademarks.

INTELLECTUAL PROPERTY AND SERVICE LICENSE

Auto Detail Biz and Ira Blatt & Associates retain all right, title, and interest in the preexisting, reusable, and system-level materials used to provide our products and services.

These materials include, without limitation:

• Website templates, structures, layouts, designs, and reusable content

• Custom code, booking widgets, forms, and scheduling systems

• Automation workflows, integrations, routing logic, and configurations

• AI voice-assistant prompts, instructions, configurations, and operating methods

• Marketing templates, advertisements, scripts, and promotional resources

• Training materials, guides, procedures, documentation, and business resources

• Hosting configurations, security systems, gateways, databases, and infrastructure

• Demonstration websites, temporary domains, subdomains, and preview sites

• Reusable improvements, updates, modifications, and future versions of the service system

These materials are collectively referred to as “Auto Detail Biz Materials.”

During an active authorized trial or paid subscription, Auto Detail Biz grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Auto Detail Biz Materials solely in connection with your own authorized auto-detailing business.

The Auto Detail Biz Materials and managed services are licensed for use and are not sold.

No ownership interest in the Auto Detail Biz Materials is transferred to you unless Auto Detail Biz expressly agrees to a transfer in a separate written document.

You may not, without prior written permission:

• Copy or recreate substantial portions of the Auto Detail Biz Materials

• Sell, sublicense, transfer, or distribute the Auto Detail Biz Materials

• Provide our templates, code, prompts, workflows, or configurations to another provider

• Extract, duplicate, reverse engineer, or recreate the underlying service system

• Use demonstration materials to create a competing website, AI, automation, or marketing service

• Remove ownership or proprietary notices from materials provided directly to you

• Claim ownership of the underlying Auto Detail Biz service system

Customer-facing branding, business names, domain names, or copyright notices displayed on a customer website do not transfer ownership of the underlying Auto Detail Biz Materials.

A customer website may display the customer’s own business name in its footer or copyright notice while the underlying template, code, booking system, automation, AI configuration, and service infrastructure remain Auto Detail Biz Materials.

When a trial, subscription, or other authorization ends, your license to use the Auto Detail Biz Materials also ends.

DIGITAL PRODUCT LICENSE

Digital books, guides, templates, advertising materials, training resources, and downloads are licensed to the purchaser for personal business use unless otherwise stated.

You may not:

• Resell the materials as your own

• Redistribute files or downloads

• Share paid access with unauthorized users

• Publish substantial portions online

• Copy substantial portions for commercial distribution

• Remove branding and sell the materials under another name

• Use the materials to create a competing educational or business-service product

You may adapt ordinary business templates for use within your own auto-detailing business unless a product states otherwise.

ACCEPTABLE USE

You may not use our products or services to:

• Violate any law or regulation

• Commit fraud or impersonate another person or business

• Harass, threaten, deceive, or exploit another person

• Transmit malicious code or interfere with service security

• Generate artificial, automated, or abusive call traffic

• Circumvent billing, usage limits, or access controls

• Collect information unlawfully

• Send unlawful marketing, robocalls, or text messages

• Promote illegal services or deceptive business practices

• Infringe intellectual-property, privacy, or publicity rights

• Damage the reputation, systems, or operations of Auto Detail Biz or its providers

We may investigate suspected misuse and restrict or terminate access when reasonably necessary to protect customers, callers, third parties, our systems, or our service providers.

THIRD-PARTY SERVICES

Our products and services may integrate with or depend upon third-party platforms, including:

• Website hosting providers

• Domain registrars

• Payment processors

• Telephone and telecommunications providers

• AI and voice-processing providers

• Scheduling and calendar platforms

• Email delivery providers

• Automation platforms

• Analytics and security providers

• Advertising platforms such as Google, Meta, Facebook, and Nextdoor

Third-party services operate under their own terms, policies, availability, and pricing.

Auto Detail Biz is not responsible for outages, delays, policy changes, account restrictions, pricing changes, data loss, service interruptions, telephone-carrier issues, or discontinued features caused by third-party providers.

We may replace, modify, or discontinue a third-party integration when reasonably necessary to maintain the service.

SERVICE AVAILABILITY AND CHANGES

We work to provide dependable service, but uninterrupted or error-free operation is not guaranteed.

Services may be temporarily unavailable because of:

• Maintenance

• Security updates

• Software changes

• Hosting outages

• Telephone-carrier issues

• Internet failures

• Third-party outages

• Calendar or automation errors

• Unusually high traffic

• Events beyond our reasonable control

We may update, modify, replace, add, or remove service features as the system develops.

We may make reasonable changes to templates, providers, integrations, AI models, hosting systems, telephone systems, security systems, and automation methods without changing the essential purpose of the subscribed service.

PRICING CHANGES

Subscription pricing and usage rates may change over time.

We will make reasonable efforts to notify active subscribers before a pricing change takes effect.

A pricing change will not be applied retroactively to completed billing periods.

When legally required, we will obtain additional consent before applying a changed recurring charge.

You may cancel before a new price takes effect.

SUSPENSION AND TERMINATION

You may cancel eligible subscription services at any time.

Auto Detail Biz may suspend or terminate services when reasonably necessary, including for:

• Nonpayment

• Fraud or suspected fraud

• Abuse of the service

• Excessive or malicious traffic

• Illegal activity

• Security risks

• Repeated violation of these Terms

• Conduct that harms customers, callers, providers, or our reputation

• Discontinuation of a service or third-party platform

• Business, legal, or operational reasons

When practical, we will provide notice and an opportunity to correct a nonemergency violation.

Immediate suspension may occur when necessary to address fraud, unlawful activity, a security incident, abusive traffic, threatened harm, or substantial unpaid usage.

Termination ends your permission to use the hosted services and Auto Detail Biz Materials.

INCOME AND RESULTS DISCLAIMER

We believe mobile auto detailing can be an excellent business opportunity. However, individual results vary.

Purchasing or using our products and services does not guarantee that you will:

• Earn income

• Generate profits

• Receive customer calls

• Book appointments

• Obtain a particular number of customers

• Recover advertising expenses

• Achieve any specific business result

Success depends on many factors, including your effort, experience, location, pricing, advertising, market demand, competition, service quality, customer service, availability, reputation, expenses, and business decisions.

Examples, testimonials, projections, demonstrations, call scenarios, case studies, booking estimates, and income illustrations are provided for educational or explanatory purposes only and should not be interpreted as guarantees of future results.

NO PROFESSIONAL ADVICE

Auto Detail Biz provides educational and business-development resources.

We do not provide legal, tax, accounting, insurance, employment, regulatory, or financial advice.

You should consult qualified professionals regarding the requirements applicable to your business and location.

DISCLAIMER OF WARRANTIES

To the maximum extent permitted by law, products and services are provided on an “as is” and “as available” basis.

Auto Detail Biz does not make warranties regarding:

• Uninterrupted or error-free operation

• The accuracy of every AI response

• The completion of every booking

• The delivery of every call, email, or notification

• Compatibility with every device or third-party service

• The availability of any particular domain, phone number, provider, or feature

• Specific customer, revenue, profit, or advertising results

• The correction of every technical issue within a particular period

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

LIMITATION OF LIABILITY

To the maximum extent permitted by law, Auto Detail Biz, Ira Blatt & Associates, and their owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages.

This includes, without limitation:

• Lost profits or revenue

• Lost customers or appointments

• Lost business opportunities

• Advertising losses

• Business interruption

• Loss of data

• Missed calls

• Calendar errors

• Third-party outages

• Reputational harm

• The conduct of callers, customers, contractors, or service providers

To the maximum extent permitted by law, our total liability arising from a product or service will not exceed the amount you paid to Auto Detail Biz for the affected product or service during the six (6) months immediately preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited.

INDEMNIFICATION

You agree to be responsible for claims, losses, liabilities, damages, and reasonable expenses arising from:

• Your detailing services or business operations

• Your violation of law

• Your violation of these Terms

• Materials or claims you provide for use on a website or advertisement

• Your misuse of the products or services

• Injury or property damage caused by you, your employees, or your contractors

• Disputes between you and your customers, workers, contractors, or vendors

This section does not require you to indemnify Auto Detail Biz for liability caused solely by Auto Detail Biz’s own unlawful conduct where such indemnification is prohibited by law.

PRIVACY AND CUSTOMER INFORMATION

Our collection and handling of personal information are also governed by our Privacy Policy.

You are responsible for using customer information obtained through calls, forms, calendars, bookings, emails, or other services only for lawful business purposes.

You must protect customer information within your control and must not sell, misuse, or disclose it unlawfully.

Calls and customer interactions may be processed by third-party telephone, AI, calendar, hosting, email, and automation providers as necessary to provide the services.

NOTICES

We may send service notices, billing notices, security notices, and updates to the email address or other contact information associated with your account.

You are responsible for keeping your contact information current.

A notice is considered delivered when sent to the contact information you provided, unless we receive confirmation that delivery failed.

CHANGES TO THESE TERMS

We may update these Terms of Service from time to time.

The “Last Updated” date at the top will identify the latest version.

When changes are material, we will make reasonable efforts to provide notice through email, the website, an account notice, or another appropriate method.

Continued use of products or services after the effective date of revised Terms constitutes acceptance of the revised Terms, except where additional affirmative consent is required by law.

GOVERNING LAW

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent permitted by law, disputes that cannot be resolved informally will be brought in a court of competent jurisdiction located in Merced County, California.

Before filing a legal claim, the parties agree to make a reasonable good-faith effort to resolve the issue informally by contacting:

SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

An unenforceable provision will be interpreted or limited to the minimum extent necessary to make it enforceable where permitted by law.

NO WAIVER

Failure to enforce a provision of these Terms does not waive the right to enforce that provision later.

ASSIGNMENT

You may not transfer your subscription, service access, or rights under these Terms to another person or business without prior written permission.

Auto Detail Biz may assign or transfer its rights and obligations in connection with a sale, reorganization, change in service provider, or transfer of the applicable business or service.

ENTIRE AGREEMENT

These Terms, the Privacy Policy, the applicable purchase or enrollment page, and any written service terms expressly accepted by you constitute the agreement between you and Auto Detail Biz regarding the applicable products and services.

If a specific purchase page or written offer contains terms that conflict with these Terms, the more specific terms presented and accepted for that purchase will control.
